OF IL-76TD,IL-76TF, IL-76MD, IL-76-MF, IL-78 AIRCRAFT State Joint - Stock Company “Tashkent Aircraft Production Corporation named after V. P. Chkalov”(S.J-S.C. “TAPC”) (Corporation), Tashkent, Republic of Uzbekistan, offers to deliver IL-76TD, IL-76MD, IL-78 aircraft with installed Д-30КП2с(D-30KP2s) engines (Russia), IL-76TF, IL-76MF aircraft with ПС-90А (PS-90A) engines(Russia).

1.1 IL-76TD and IL-76TF aircraft delivery can becarried out in terms and by agreement, but not more than 9 months in Russian version and 12 months in English version from the date of the Contract signing. In case of changes of standard version in accordance with additional requirements of the Buyer, terms of delivery should be specified during Contract signing.

2. Guarantee

2.1. Corporation guarantees quality and serviceable operation of aircraft and its systems during 1000 flying hours or 12 months from the date of delivery, depending on whatever comes first.

2.2. To provide aircraft operation, Corporation will direct guarantee team to the Buyer’s country. Terms and conditions of guarantee team business trip, which includes expenses, will be specified during the negotiations.

Otherversions of realization can be considered when Contract is signing.

Buyer makes payments for delivered aircraft as follows:

5.1 Advance payment at the rate of 50% of the total sum of the Contract iscarried out by transference to the account of the Corporation in the National Bank for Foreign Economic Activities of the Republic of Uzbekistan, Tashkent, within 30 days from the date of the Contract signing. The percentage rate can also be altered during negotiations.

5.2 The rest of the cost of each aircraft is to be paid by the opening of the irrevocable letter of credit in favour of the Corporation in the National Bank for Foreign Economic Activities of the Republic of Uzbekistan, Tashkent, 45 (forty-five) days before aircraft delivery / acceptance.

6. Buyer’s Personnel Training

6.1 By the separate Contract, Corporation will train flying personnel andspecialists for ground maintenance of IL-76TD, IL-76MD,IL-76TF,IL-76MF,IL-78 aircraft.

6.2 Terms and program of training of Buyer’s specialists will be agreed additionally depending on the type of aircraft specialists operated before training and their work experience.

7.1 Together with the Contract on aircraft delivery, the Buyer will beoffered to sign the Contract on delivery of spare parts, test and ground equipment in nomenclature and quantity necessaryto provide normal operation of aircraft during the whole period of operation. Further delivery of spare parts will be fulfilled at Buyer’s requests in established order.

7.2 Buyer’s request, under the conditions of the separate Contract, Corporation will direct the team of flying and ground specialists to the Buyer’s country for technical support of delivered IL-76TD, IL-76MD, IL-76TF, IL-76MF, IL-78 aircraft operation.

7.3 In accordance with the Buyer’s requests and under the conditions of theseparate Contract, Corporation will accept for repair IL-76TD, IL-76MD, IL-76TF, IL-76MF, IL-78 aircraft, Д-30КП2сPS-90A engines, assemblies and other equipment manufactured in CIS and installed on IL-76TD, IL-76MD, IL-76TF, IL-76MF, IL-78 aircraft.

8.1 All other terms, not stipulated in the present Contract and connectedwith IL-76TD, IL-76TF aircraft delivery and operation, wil l be included in the draft of the Contract. It is understood, that the request should be received within the period of validity of the present offer.

8.2 Validity period of the offer comprises three (3) months from the date ofreceipt of the offer.
